This End-User License Agreement (EULA) and any additional policies, as may be updated from time to time, is a legal agreement between Ed-admin (“we”, “us”, or “our”) and you, a user (“you” or “your”) of one of our mobile application products, as further described below and/or on the website page on which such product is available for download (each, an “Application” or “app”, and collectively, “applications” or “apps”).

We license the use of the app on the basis of this EULA. By downloading or streaming the app or the digital content, you agree that you have read, understood and agreed to our terms, and are bound by this EULA. If you do not agree you should not use the app or the service.

Terms

• The terms of this EULA apply to the app or any of the services accessible through the app, including any updates or supplements to the app or any Service, unless they come with separate terms, in which case those terms apply. If any open-source software is included in the app or any Service, the terms of an open-source license may override some of the terms of this EULA;
• The application is intended solely for your personal use, as described in this Agreement, or otherwise as may be instructed or described by Ed-admin in writing. You may not sell, lease, or charge fees for access to or any use of the application;
• From time to time updates to the app may be issued through the app Store. Depending on the update, you may not be able to use the Services until you have downloaded or streamed the latest version of the app and accepted any new terms; and
• You are solely responsible for the use of the service on your device.

License Granting

Subject to the terms of this agreement, Ed-admin grants to you a non-exclusive, non-transferable license to use the application as permitted by this Agreement, solely for personal and non-commercial use. The app cannot be used for any other purposes. You are not permitted to lease, rent, sub-license, publish, copy, modify, adapt, translate, reverse engineer, decompile or disassemble all or a portion of the application without Ed-admin’s written consent.

Your license to Ed-admin

You own all of the content, feedback, and personal information you provide to us, but you grant us a non-exclusive license to it. As between you and Ed-admin, you own the content of the information that you submit or post to the services and you are only granting Ed-admin and our affiliates the following non-exclusive license:

A worldwide, transferable and sub-licensable right to use, copy, modify, distribute, publish and process, information and content that you provide through our services and the service of another, without any further consent, notice and/or compensation to you or others.

Ownership

Except for the limited rights expressly granted to you, (i) Ed-admin reserves all rights, title and interests in the application, (ii) no right, title, ownership, interest or license in or to the application and Documentation, whether by implication, estoppel or otherwise, is granted, assigned or transferred to you under or in connection with this Agreement. You acknowledge and agree that the application and the Documentation are proprietary products of Ed-admin. You further acknowledge and agree that all rights, title, and interest in and to the application and the Documentation, including associated intellectual property rights, are and shall remain with Ed-admin. By downloading the application and Documentation, you waive any claim to or proprietary interest in the application.

Restricted Use

You agree not to use the app in any way that:

• Is unlawful, illegal or unauthorised;
• Obscene or offensive;
• Infringes any copyright, database right or trademark of any other person;
• Is likely to disrupt our services in any way; or
• Advocates, promotes or assists any unlawful act.

Privacy and Policy

Your consent to the collection, use, sharing and transfer of your personally identifiable information (PII) and other information submitted by you in connection with the app is described in the Ed-admin Privacy and Policy (https://www.Ed-admin.com/mobileapp/contact/).

Intellectual Property Rights

We respect the intellectual property rights of others. If you believe that certain content on the Service infringes your intellectual property rights, you should contact us and provide sufficient information for us to investigate the claim further.

You acknowledge that all intellectual property rights in the app, the Documents and the Technology anywhere in the world belong to us or our licensors, that rights in the app are licensed (not sold) to you, and that you have no rights in, or to, the app, the Documents or the Technology other than the right to use each of them in accordance with the terms of this EULA.

Sharing

Our services allow sharing of information such as but not limited to the following: your profile, messages and job posting. Information and content that you post may be seen by members belonging to the same institute. For job searching activities, we provide a list of job offers. If interested in the job, you contact the potential employer directly on the contact information provided therein.

We do not promise to store or keep showing information and content that you post. You agree that we have no obligation to store, maintain or provide you with a copy of any content or information that you or others provide, except to the extent required by applicable law and as noted in our privacy policy.

We are not obligated to publish any information or content on our service and can remove it with or without notice.

Copyright

All title and copyrights in and to the application (including but not limited to any images, photographs, animations, video, audio, music and text incorporated into the application), the accompanying printed materials, and any copies of the application, are owned by Ed-admin or its suppliers. This EULA grants you no rights to use such content. Except for any copies of this EULA, you may not copy the printed materials accompanying the application.

Termination

This EULA will remain in effect until terminated. If you fail to comply with any of the provisions of this Agreement, you may no longer use the application and you shall permanently delete all copies of the application from your device or which otherwise are then in your possession.

Information Security

Ed-admin has implemented reasonable security measures to protect your information from loss, misuse, unauthorised access, disclosure, alteration or destruction. While we cannot guarantee a loss, misuse or alteration will not occur, we make good faith efforts to prevent such occurrences.

Disclaimer of Warranties

THE APPLICATION IS PROVIDED (“AS IS”), “AS AVAILABLE” AND WITH ALL FAULTS, AND Ed-admin DISCLAIMS ALL WARRANTIES, REPRESENTATIONS AND CONDITIONS, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING, BUT NOT LIMITED TO ANY IMPLIED WARRANTIES, DUTIES OR CONDITIONS OF MERCHANTABILITY, NON-INFRINGEMENT, FITNESS FOR A PARTICULAR PURPOSE, RELIABILITY OR AVAILABILITY, ACCURACY OR COMPLETENESS, QUALITY, SAFETY, SUITABILITY, WORKMANLIKE EFFORT, LACK OF VIRUSES, LACK OF NEGLIGENCE, OR THAT THE APPLICATION WILL PERFORM IN ANY PARTICULAR FASHION OR REDUCE ANY PARTICULAR RESULT, OR OTHERWISE, ARISING OUT OF OR RELATED TO THE USE OF THE APPLICATION BY YOU OR ANY OTHER PERSON.

Advertising

You acknowledge that all intellectual property rights in the app, the Documents and the Technology anywhere in the world belong to us or our licensors, that rights in the app are licensed (not sold) to you and the services are provided to you for free, and that it is our right to have advertising in forms of pictures, videos, notes and any other appropriate forms in our app. You also acknowledge that we, Ed-admin, are not responsible for the context of the advertisements and by downloading or streaming the app you read, understood and agreed to bond by this EULA and if you did not read, understand and agree to our terms, you may no longer use the app and must permanently delete all copies of the app.

Ed-admin reserves the right to approve and advertise a business on behalf of users subject to the following conditions. Ed-admin shall only advertise a business on behalf of users:

• If the business is in tandem with Ed-admin purview; and
• If the business does not affront Ed-admin policies, privacy policy and terms of use.

At Ed-admin, we are fiercely committed to protecting the safety and privacy of our users. Our advertising practises are designed to safeguard these values. Ed-admin shall not approve, promote or advertise the following businesses:

• Adult-oriented prescriptions
• Tobacco;
• Liquor of any kind ( hard, beer, wine);
• Illicit drugs;
• Adult content;
• Gambling (including legal lotteries, sweepstakes and fantasy leagues);
• Arms or weapons; and
• Or any business that violates any applicable law, rules and regulations.

Replacement, Modification and/or Upgrades

Ed-admin may, from time to time, and for a fee, replace, modify or upgrade the application. When accepted by you, any such replacement or modified Software code or upgrade to the application will be considered part of the application and subject to the terms of this EULA (unless this EULA is superseded by a further EULA accompanying such replacement or modified version of or upgrade to the application).

Exclusion of Liability

TO THE FULLEST EXTENT PERMITTED UNDER THE APPLICABLE LAW, IN NO EVENT SHALL Ed-admin BE LIABLE TO YOU WITH RESPECT TO THE USE OF THE APP AND/OR BE LIABLE TO YOU FOR ANY DIRECT, INDIRECT, SPECIAL OR CONSEQUENTIAL DAMAGES INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF GOODWILL, LOSS OF PROFITS, CORRUPTION OF YOUR INFORMATION, THE INABILITY TO USE THE APP, DEVICE FAILURE OR MALFUNCTION.

No Waiver

No waiver of any right under this EULA will be deemed effective unless contained in writing and signed by a duly authorised representative of Ed-admin, against whom the waiver is to be asserted, and no waiver of any past or present right arising from any breach or failure to perform will be deemed to be a waiver of any future rights arising out of this EULA.

Jurisdiction

These app terms shall be governed by the laws of Australia and parties submit to the exclusive jurisdiction of Australia to resolve any disputes between them arising under or in connection with these app terms.

Severability

If any provision (or part of the provision) of these app terms is found by any court of competent jurisdiction to be invalid, unenforceable or illegal, such term, condition or provision will to that extent be severed from this agreement; the remaining terms, conditions and provisions will continue to be valid.

Related Agreements

This application is licensed, not sold. By opening, downloading, installing, or using the application you agree to be bound by the terms of this agreement with Ed-admin as well as its privacy policy located at (https://www.Ed-admin.com/mobileapp/privacy/) and terms of service located at (https://www.Ed-admin.com/mobileapp/termsofuse/).

Entire Agreement

This EULA constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior agreements, proposals, negotiations, representations or communications relating to the subject matter. Both parties acknowledge that they have not been induced to enter into this EULA by any representations or promises not specifically stated herein.
